Terms and Conditions

Terms: By placing an order, customers accept and agree to Vere, Inc’s terms and conditions.

Payment terms: NET 10 from shipping date for customers with satisfactory credit ratings. VERE accepts VISA, Mastercard and DISCOVER.

Late Charges: If a statement has not been paid in full prior to the expiration of a ten (10) day period from the closing date on the statement, a Late Charge of 1 1/2% per month (18% per annum) will be imposed on the unpaid outstanding balance.

Delivery Date: The promised delivery date is the best estimate possible based upon current and anticipated manufacturing capabilities of when the product will be shipped.  We assume no liability for loss, damages (including, without limitation, consequential damages) due to delay.

Shipping: Prepaid and added or COD.  FOB is factory, New Kensington, PA

Cancellation: Any cancellation must be approved by Vere, and may be subject to restocking and other charges.

Returns: Return authorization must be obtained prior to shipment to VERE.  All unauthorized returns will be refused.  Custom products will be repaired or replaced if defective but may not be returned for credit.

Confidential Use refers to all drawings (including diagrams, raw part descriptions, part numbers, etc), specifications and other materials furnished by VERE Incorporated relating to the use and service of goods sold to the Buyer and the information embodied therein, as proprietary to VERE Incorporated.  Buyer may not use, reproduce or distribute such materials without express written permission from Vere. VERE will treat drawings, specifications or data furnished by Buyer as confidential, when identified as such, in connection with any engineering design or sale of products.

Force Majeure.
Vere shall not be liable for any delay in or impairment of performance resulting in whole or in part from any force majeure event, including but not limited to Acts of God, labor disruptions, shortages, inability to procure product, supplies or raw materials, severe weather conditions, or any other circumstances or cause beyond the control of Vere in the conduct of its business.

Modification of Terms.


Vere's acceptance of any order is subject to customer's assent to all of the terms and conditions set forth in Vere's acknowledgment, and customer's assent to these terms and conditions shall be presumed from customer's receipt of Vere's acknowledgment, or from customer's acceptance of all or any part of the goods or services ordered. No addition or modification of terms and conditions shall be binding upon Vere unless agreed to by Vere in writing. If a purchase order or other correspondence contains terms or conditions contrary to the terms and conditions contained in Vere's acknowledgment, Vere's acceptance of any order shall not be construed as assent to any additional terms and conditions, nor will that constitute a waiver by Vere of any of the terms and conditions contained in Vere's acknowledgment.

Waiver, Choice of Law and Venue.
The failure of either party to assert a right hereunder or to insist upon compliance with any term or condition will not constitute a waiver of that right or excuse any subsequent nonperformance of any such term or condition by the other party. All transactions shall be governed by the laws of the State of Pennsylvania, excluding conflict of law rules, and venue shall be in Westmoreland County, Pennsylvania.

In the event that VERE is required to institute and legal action for collection of fees, costs due to VERE for services; VERE will also have the right to receive all attorney's fees and costs or 20 percent (20%) of the balance due at the time of final payment, whichever is greater.

Complete Agreement.
The terms and conditions in Vere's forms, acknowledgments, quotations, invoices, websites, and catalog sales terms and conditions are incorporated herein by reference, and constitute the entire and exclusive agreement between customer and Vere.

Limited Warranty: For a period of 90 days from delivery, Vere warrants any product it determines to be defective.  In addition to the 90 day warranty, breadboards and optical tables are warranted for 5 yrs against delamination if used according to the instructions. The sole remedy is repair or replacement of the defective product, or at Vere’s option, a refund of the purchase price.

WARRANTY DISCLAIMER. NO WARRANTY OR AFFIRMATION OF FACT, EXPRESS OR IMPLIED, OTHER THAN AS SET FORTH IN THE LIMITED WARRANTY STATEMENT ABOVE IS MADE OR AUTHORIZED BY VERE. VERE DISCLAIMS ANY LIABILITY FOR PRODUCT DEFECT CLAIMS THAT ARE DUE TO PRODUCT MISUSE, IMPROPER PRODUCT SELECTION OR MISAPPLICATION, AND ANY DESCRIPTION DOES NOT EXPRESS OR IMPLY A WARRANTY THAT THE PRODUCTS ARE MERCHANTABLE OR FIT FOR A PARTICULAR PURPOSE.

LIMITATION OF LIABILITY. ANY LIABILITY FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES IS EXPRESSLY DISCLAIMED. VERE'S LIABILITY IN ALL EVENTS IS LIMITED TO, AND SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT THAT GIVES RISE TO ANY LIABILITY.

Personal identification information:

We may collect personal identification information from Users in a variety of ways, including, but not limited to, when Users visit our site, register on the site, subscribe to the newsletter, and in connection with other activities, services, features or resources we make available on our Site. Users may be asked for, as appropriate, name, email address, mailing address, phone number. Users may, however, visit our Site anonymously. We will collect personal identification information from Users only if they voluntarily submit such information to us. Users can always refuse to supply personally identification information, except that it may prevent them from engaging in certain Site related activities.
